Sample Editing and Publishing Agreement

between

ABLiA Media Co LLC ("Company"), a New Jersey registered for-profit business,

and

___________________ ("Client")

Company will provide services required by Client as follows:

1.0 Scope of Work:

  1. Review, edit, and polish Client's manuscript or pages in Client’s chosen size;

2.       Suggest and show improvements or changes to improve the typed clarity, flow (story arc), and style;

3.       Improve or correct word choices, tense and grammar;

4.       Identify missing details that may improve the manuscript;

5.       Identify better phrasing, sentence and paragraph structures;

6.       Offer better or suggested vocabulary choices to improve impact;

7.       Format and prep manuscript for easy reading;

8.       One half-hour of phone consultation on the manuscript for every thirty pages returned to Client;  

9.       Additional or personal consultations can be arranged by mutual agreement;

10.   Sections returned to Client within 3-5 days of receipt, delivered by email;

11.   Responsive email communications to Client returned same or next day;

12.   All communications between Company and Client are confidential unless Client chooses otherwise;

13.    Client retains all rights and has final say on manuscript and publication; once approved by Client, full responsibility for the work rests on Client.

2.0 Fees: All agreed upon fees are firm throughout the Agreement. In consideration of services to be provided in The Scope of Work, Client agrees to remit to Company the following amount(s) by U.S. check or Money Order, in U.S. dollars, credit card payment, or PayPal payment made payable to ABLiA Media LLC, Net 20 days of invoice:

A. For 8.5x11 or other typed single or double-spaced, in electronic format: payment of three cents ($0.03) per word payable in three increments, 30%, 40%, and a final 30%.

B. An initial non-refundable one-time fee of $100.00 paid in advance. Client is responsible for any additional fees such as an ISBN number, special cover, photo or graphic inserts etc.

Client may request Expediting at an additional fee per page for un-reviewed pages to be delivered sooner, upon agreement with Company of delivery date and price, by email communication.

3.0 Limitations on manuscript: Must be MS-Word 2019, 2016, 2010 or 2007, or Google Docs. All manuscript lengths up to 80,000 words accepted. Fees will be negotiated and agreed upon for longer lengths. The Company does not offer ghostwriting service. Company reserves the right to refuse service with valid reason(s).

3.0 Cancellation. Either party may cancel in writing at anytime, for any reason. Company will give Client 14 days notice unless unavoidable circumstances arise. The full manuscript will be returned to Client. Fees are due and payable for all services performed or edited pages within 14 days of cancellation date.

4.0 Default and Remedies. If Company fails to deliver all pages to be reviewed by agreed upon delivery date(s), for any reason, Client's sole remedy upon request will be immediate return of the uncompleted manuscript, with charges due only for completed pages. If Client fails to pay Company amounts due, Company may file a Claim in Small Claims Court, Mercer County Courthouse, Trenton New Jersey, including Court costs.

5.0 Liability. Company disclaims all responsibility for reliance by Client on Company's reviews, changes, or editing, in whole and in part. All Company comments, questions, statements of supposed fact, suggested changes or modifications are suggestions only. It is the Client's duty and sole responsibility to accept, modify, or reject Company's reviews and work products based on their own verifications and judgments. Client agrees to use Company's manuscript page reviews at Client's own risk. Client agrees Company is absolved of all present and future liabilities.

6.0 Jurisdiction. Client agrees to the laws of the State of New Jersey regarding contract law, without regard to principles of conflict of laws, which will also include unresolved disputes.
